SEC Small Business News: Voluntary Online Filing Of Form D Begins; Mandatory Next Spring

On Sept. 15, 2008 the U.S. Securities and Exchange Commission (SEC) announced the launch of the voluntary online filing system for Form D. The objective of this voluntary online filing alternative – which will become mandatory next spring – is to reduce the burden on smaller public companies. This change was mandated in a final rule adopted by the SEC in Dec., 2007, with an effective date of September 15.
To assist in implementation of this change, the SEC published on September 12 Small Business Compliance Guide on “Filing and Amending a Form D Notice.”
